The terms and conditions in this Registration Agreement apply to both new and existing customers of Masters Pharmaceutical, Inc.

This application is submitted to Masters Pharmaceutical for the purpose of attaining credit. The undersigned insures that all information provided in this application is current, accurate and complete and that Masters Pharmaceutical may review all information necessary to assist the process of extending and discontinuing credit.

The undersigned agrees to immediately notify Masters Pharmaceutical, in writing, of any change in the foregoing information including, without limitation, any change in the nature of your business, ownership, name or location of the business or financial condition of the undersigned. Masters Pharmaceutical may discontinue credit at its sole discretion at any time.

Payment Due Dates are determined by the purchase date. All orders shipped from the 1st through the 25th of the month are due the 10th of the next month. Orders shipped from the 26th till the end of the month are due on the 10th of the following month. Thus our credit terms are defined as Net 10 EOM and are subject to credit approval. A $30 fee will be assessed on any and all NSF checks.

The applicant agrees to pay at the place designated on the invoice all drafts and obligations, evidence of credit, and all extensions of credit, in full upon the due date. If not paid upon due date, a 1.5% monthly finance charge will be assessed and you agree to also pay all finance charges imposed.

On default or failure to pay as agreed, you agree to pay Masters Pharmaceutical Inc. or its subsidiaries, dba's, etc. collection costs, the maximum monthly finance charge permitted, and reasonable attorney fees.

This application will be a personal guarantee for all credit extended by Masters Pharmaceutical Inc. or its subsidiaries, dba's etc. in connection with the purchase of any and all goods. Further, the guarantor agrees to subject their company to the jurisdiction of the Ohio courts, should the company guarantor fail to pay Masters Pharmaceutical Inc. as set forth within this credit application.

This agreement is binding on your heirs, representatives, successors and assigns.

By returning merchandise, you are certifying that the specific product(s) were purchased directly from Masters Pharmaceutical; that product(s) have been stored properly at a temperature indicated on the product label and in the original bottle; bottles have never been opened and drug product(s) have never been repackaged, in compliance with the Prescription Drug Marketing Act.

• Returns are only accepted on purchases made directly from Masters Pharmaceutical.
• Returns are only accepted from the original purchaser.
• Credit will be based on the current selling price or original invoice price, whichever is lower, adjusted for terms discounts, rebates, free goods, etc. if applicable.
• Credit will be issued within 30 days of receipt. No deductions may be taken prior to that time. All credits will be issued in the form of a credit memo, no checks will be mailed.
• Sales representatives cannot authorize return of products or pick up merchandise. All returns must be authorized by a manager.
• NO CREDIT will be given for the following:
1. Any product purchased as short-dated or close-out inventory.
2. Controlled substances.
3. Refrigerated products.
4. Products shipped back to Masters with lot numbers other than what the customer has received from Masters Pharmaceutical.
5. Opened or partial bottles; Repackaged products or products not in original sealed container.
6. Packages that arrive at our distribution center without a return authorization form.
7. Merchandise sent to our distribution center that has not received prior authorization. Such items will not be returned and will be destroyed.
8. Product defaced with stickers, price marks, knife cuts, etc.
9. Damaged merchandise due to improper storage and handling, fire, flood, heat, cold, water, smoke, catastrophe or bankruptcy sale, or purchased or otherwise obtained in violation of any Federal, State or local law or regulation.
10. Free goods.
11. Merchandise returned by a customer that has not made a purchase for a period of two months or longer.
12. Freight unless the return is a result of our error.
13. Any product purchased greater than 6 months ago.

The standard shipping policy for Masters Pharmaceutical is as follows:

Orders received prior to 8:00PM EST*, Monday through Friday, will be processed and shipped the same day in most cases. Orders placed after our cutoff times will be shipped the following business day. Orders placed on Saturday, Sunday and company-observed holidays will be shipped the next normal business day.

Masters' order minimum is $150.00. All minimum orders are shipped freight pre-paid at Masters' expense. Refrigerated products ordered after 8:00PM EST* Thursday through Sunday will be shipped the following Monday.

Masters Pharmaceutical reserves the right to change or modify this policy at any time and may make exceptions as deemed necessary.

* Excluding orders held for Credit or Compliance Reivew.

• Contact your Account Manager at (800) 982-7922 to request a return authorization form for any items you wish to return for credit. To ensure proper processing, you must supply all pertinent item information, invoice numbers, lot numbers and expiration dates.
• All authorized returns are subject to a 20% restocking fee.
• Return Authorization form must accompany the returned merchandise.

• Shipping errors must be reported within 48 hours of receipt and are returnable for full value at our freight expense.
• Masters will provide a call tag for returns due to our error. Please note these tags are only valid for 10 days and may only be used for products shipped in error.

We hereby grant permission to Masters Pharmaceutical Inc. and all its Divisions & subsidiaries to send advertising and promotional materials to the FAX numbers(s) and/or email(s) addresses listed above.

Masters Pharmaceutical reserves the right to amend this policy. This policy supersedes all previous policies and is hereby automatically incorporated into any prior customer supply agreements or written contracts.
